Basic Function

HF Sinclair is seeking a Contracts Specialist to be based in Dallas, TX.  In this role, you will provide advanced assistance to the Legal Department by preparing, negotiating, drafting, editing, and evaluating a broad range of moderately to highly complex contracts and related documents in accordance with Company’s policies and legal requirements. Works under the direction of the Assistant General Counsel to administer customer and vendor agreements, real property leases, pre-litigation dispute settlements, and development/consulting arrangements. Participate in resolving day‑to‑day contract-related issues for both customers and manufacturing facilities to ensure effective contract management and compliance. Contributes to advancing legal and business objectives through accurate documentation and timely contract support.

Job Duties

  • Manages and leads legal work supporting the business, including contract preparation, review, and administration
  • Manages the contract process and contract administration activities, including contract intake, records maintenance, database management, including renewals.
  • Creates, reviews, edits, coordinates, and/or leads negotiations on a wide range of agreements for the sale of goods and services while understanding the overall risk associated with each agreement.
  • Provides decisions on risk assessment of products and their use
  • Provides equivalent legal support for real property leases, dispute settlements, procurement agreements, development and consulting arrangements.
  • Manages projects, including drafting, reviewing, and transmitting legal correspondence and documents.
  • Leads and prepares responses to third party contractual pre-litigation demands and claims.
  • Assists in providing training to related teams.
  • Assists in resolving day-to-day contract-related issues for both customers and individual manufacturing facilities.
  • Monitors status of various legal matters and update databases and templates. Leads the creation of deviations from templates or standard language.


     Special assignments or tasks assigned to the employee by his/her superior, as determined from time to time in the supervisor’s sole and complete discretion.

Experience

A minimum of 8 years of relevant experience in a similar position is required. Demonstrated experience managing contract forms and handling general contractual matters. Stable work history. Reputation for high ethical standards and integrity.

 

Preferred Experience:

Certified Professional Contracts Manager (CPCM) certification and/or paralegal certification is a plus but not required. Experience in the Power Generation, Oil/Gas, Petrochemical Fields a plus. Knowledge and experience in contracting internationally (including an understanding of the UN Convention on the Sale of Goods and UNIDROIT Principles of International Commercial Law) and the Uniform Commercial Code.

Education Level

A minimum of a Bachelor’s Degree and significant prior practical experience. 

Required Skills

Project management skills with experience in both sales and procurement contracts. Advanced legal drafting and analytical skills. Excellent organizational skills, ability to handle multiple projects and manage confidential and sensitive information. Ability to work independently across the organization while displaying strong leadership and time management skills. Experience with international and domestic contract negotiations, management and dispute resolution. Ability to read, write, speak and understand the English language in a business environment. Provide advanced corporate contract reviews of terms and conditions, including INCOTERMS, complex indemnities, revenue recognition, pricing, exposure and risk in a wide range of areas.  Strong verbal and written communication skills. Ability to effectively communicate with others at all levels of the organization and outside counsel, both written and verbal communication. Strong public speaking skills along with presentation skills. Extremely responsive to a high volume of diverse requests.  Self-motivated, organized team player who works well in a high-energy and fast-paced environment.  Cooperative, encourages collaboration and builds understanding; ability to find common ground and solve problems, and who owns his or her projects and commitments.

Supervisory/Managerial Responsibility

None.

Work Conditions

Office based with travel up to 5-10% by land and air required.  Subject to all weather and varying road conditions.

Petroleum refinery and out-of-doors environment including but not limited to chemicals, pressure vessels, tanks, and rotating equipment.
