Basic Function

HF Sinclair is seeking an experienced Paralegal in Dallas, TX who will support the corporate legal department and internal clients in handling a wide range of corporate, transactional, treasury and compliance matters. This role is responsible for assisting with corporate governance, maintaining corporate records, supporting capital markets and M&A transactions, ensuring compliance with applicable laws and regulations and related matters. The ideal candidate is organized, detail-oriented, proactive and experienced in working in a fast-paced, corporate legal environment, and is able to work independently with strong communication skills.

Job Duties

  • Prepare and maintain corporate records, including minutes, resolutions, bylaws, and other governance documents for the company and its subsidiaries.
  • Assist in the formation, dissolution, and maintenance of domestic and international legal entities.
  • Support compliance with corporate filings, including annual reports, business licenses, and regulatory requirements.
  • Provide oversight of web-based applications to support legal entity management, insider tracking and SEC filings, and maintain legal department systems and databases.
  • Support the Section 16 reporting process, including the preparation and filing of Forms 4 and 144 for directors and executive officers.
  • Assist in the preparation and filing of all SEC reports, including the annual Proxy Statement, Annual and Quarterly Reports and Current Reports on Form 8-K.
  • Prepare and distribute board and committee meeting materials, including agendas, minutes and presentations.
  • Respond to KYC and UBO requests, including coordinating with accounting, tax, treasury and other internal stakeholders.
  • Assist with M&A matters, including managing virtual data rooms, due diligence, closings and post-closing integration.
  • Perform legal research and summarize findings for attorneys.
  • Draft, review, and track a variety of contracts and legal documents, including NDAs.
  • Support special projects and cross-functional initiatives, including compliance and risk management programs.
  • Coordinate with outside counsel and manage legal invoice review and budgeting.

 

PREFERRED SKILLS:

  • Experience with public company compliance (e.g., SEC filings and Workiva, Diligent and similar platforms).
  • Strong understanding of corporate governance and entity management.
  • Experience using entity management platforms like GEMS.
  • Excellent organizational, communication and interpersonal skills.
  • Detail-oriented and able to manage confidential and sensitive information.
  • Self-starter with the ability to manage multiple priorities in a fast-paced environment.

 

Special assignments or tasks assigned to the employee by their supervisor, as determined from time to time in their sole and complete discretion.

Experience

A minimum of three (3) years of Corporate Paralegal experience, particularly in a Law Firm or In-House legal department. 

Education Level

A minimum of a Bachelor’s Degree, AND Paralegal Certificate, or the equivalent number of years of directly related experience AND Paralegal Certificate is required.

Strong written and verbal communication skills; detail oriented; proven ability to work in a complex environment with multiple priorities and projects while maintaining a high stress tolerance. Proficient in planning and organizing, and monitoring information.
